Terms of Service

2.1 Two-Tier Profile System

Mintos.Pro operates a progressive two-tier profile system designed to separate basic platform usage from features that require legal identity verification:

• Tier 1 (Basic Profile): Requires a valid email address, username, first name, last name, and password. Tier 1 unlocks Web2 features including browsing, commenting, creating playlists, viewing Demo Reels, and purchasing ARThash credits.
• Tier 2 (Creator / Legal Entity): Requires additional legal entity data including a Solana-compatible electronic wallet address, phone number, physical address, government-issued ID, CNP (Personal Numeric Code), IBAN, and bank name. Tier 2 unlocks Web3 features including NFT minting, collection creation, marketplace selling, and contract signing.

2.2 Wallet Requirements

A Solana-compatible electronic wallet is optional for Tier 1 usage but required for Tier 2 features. Mintos.Pro does not have access to or control over your wallet's private key, and it is your sole responsibility to secure it. We strongly recommend you never share your wallet credentials or seed phrase with anyone.

3.1 Digital Art & NFTs

Digital art transactions are facilitated using NFTs (Non-Fungible Tokens) on the Solana blockchain, utilizing the Metaplex Core NFT standard. NFTs are linked to digital content through on-chain programs. You are responsible for verifying the authenticity and legitimacy of any digital art you purchase on the platform.

3.2 Physical Art

For physical art transactions, Mintos.Pro provides options for the shipping and transportation of purchased items. The responsibility for shipping lies with the seller, but we offer integration with courier services for worldwide shipping. The transportation cost and insurance will be calculated based on the location provided by the buyer in their account settings. You are responsible for any additional shipping costs, customs, or taxes related to the delivery of physical art.

3.3 ARThash Credits

ARThash is an internal platform credit system used for subscriptions and content access on Mintos.Pro. Key terms:

• Exchange rate: 100 ARThash = 1 EUR
• Triple balance system: spending balance (for purchases), earnings balance (from subscriptions received), and paper balance (pending clearance)
• Content subscriptions cost 340 ARThash per year
• Playlist creation is free
• Earnings become available for withdrawal on the 1st of the month following the earning period
• Early withdrawal incurs a +20% penalty fee (total 30% fee including the standard 10% platform fee)

3.4 Demo Reels

Creators can generate showcase videos (Demo Reels) of their artwork using the platform's AI-directed video generation service. Demo Reels are designed to promote and display a creator's portfolio.

3.5 Playlists

Users can create curated content playlists to organize and share collections of artwork. Playlist creation is free for all users.

3.6 Content Subscriptions

Users may subscribe to creator content using ARThash credits. Subscriptions grant access to exclusive content for the subscription period. The platform retains a 10% fee on subscription payments, with 90% going to the creator.

4.1 Platform Commission

Mintos.Pro charges a 20% commission on all marketplace transactions conducted through the platform, whether for digital or physical art, in accordance with Article 4 of the Intermediation Contract. The platform collects the full payment amount from the buyer, deducts the commission, and transfers the remainder to the seller's designated IBAN or electronic wallet. The seller is responsible for determining the sale price, which includes any applicable taxes or fees. The platform reserves the right to adjust the commission rate with 30 days' prior written notice.

4.2 Blockchain Fees

Transactions on Mintos.Pro utilize the Solana blockchain, which incurs network fees (gas fees). For collection creation and NFT minting, the platform covers blockchain fees on behalf of the user through its platform-paid model. Other blockchain transaction fees (e.g., marketplace purchases) are non-refundable and not controlled by Mintos.Pro.

4.3 ARThash Transactions

ARThash credit purchases are made with fiat currency through supported payment processors. A 10% platform fee applies to subscription payments made with ARThash credits, with 90% transferred to the content creator. ARThash credits are non-transferable between users and are not redeemable for fiat currency except through the creator earnings withdrawal process.

4.4 Grace Period for Physical Art

For physical art transactions, sellers have a grace period of 10-15 days to prepare and package the artwork for delivery. The shipping process must begin within this period, ensuring the artwork is dispatched in a timely manner.

5.1 Web2 Self-Declaration of Responsibility

Upon uploading content to the platform, users accept a Self-Declaration of Responsibility confirming that they hold full intellectual property rights over the uploaded content (including songs, images, visual works, and other materials). The user assumes full legal responsibility for published content. The platform has no obligation to verify the originality or legality of uploaded content and cannot be held liable for intellectual property disputes.

5.2 Intermediation Contract

For creators and sellers, the Intermediation Contract governs the relationship between the creator and S.C. A-NFT World S.R.L. as the marketplace intermediary. Key provisions include a 20% commission on all sales, the obligation to provide accurate product information, and a requirement to respond to buyer proposals within 15 days. The contract is for an indefinite period and may be terminated by written agreement, with 60 days' notice, or 15 days after breach notification.

5.3 Sale-Purchase Agreement

For each marketplace transaction, a Sale-Purchase Agreement is automatically generated and populated with the details of both the seller and the buyer based on their profile information. This contract governs the specific transaction, including payment terms, delivery obligations, and a 2-year warranty on warranted products. The buyer must report defects within 2 days of occurrence. The intermediary (Mintos.Pro) is not liable for product quality, authenticity, or delivery issues between buyer and seller.

5.4 Electronic Signatures

Contracts on Mintos.Pro are signed electronically using one of two methods:

• Wallet Signature: Ed25519 cryptographic signature using a Solana-compatible wallet, providing blockchain-verifiable proof of signing.
• Password Verification: Username and password-based verification for users who have not connected a wallet.

Both methods produce legally binding electronic signatures under applicable Romanian and EU electronic signature regulations.

5.5 Contract Access

All signed contracts are available in PDF format and can be accessed from the user profile under the Contracts section. Contracts are available in both English and Romanian.

6.1 Authenticity and Intellectual Property

By uploading content to Mintos.Pro, you guarantee that you are the rightful owner or authorized licensee of all intellectual property rights in that content, as stated in the Web2 Self-Declaration of Responsibility. You assume full legal responsibility for all content you publish. The platform reserves the right to provide your name or pseudonym to third parties claiming intellectual property infringement, without disclosing other personal data.

6.2 Security

You are solely responsible for maintaining the security of your electronic wallet, account credentials, private keys, and seed phrases. Mintos.Pro is not liable for any losses due to unauthorized access to your wallet or account. If you lose access to your electronic wallet, you may permanently lose access to your digital assets, including any NFTs or cryptocurrency funds associated with it. Mintos.Pro cannot recover or replace lost assets.

6.3 Prohibited Activities

Users are prohibited from:

• Uploading fraudulent, stolen, or misrepresented content
• Infringing on the intellectual property rights of others
• Engaging in scam activity, market manipulation, or wash trading
• Uploading harmful, illegal, or offensive content
• Attempting to circumvent platform security measures or bot protection systems
• Creating multiple accounts for abusive purposes

6.4 Community Guidelines

Users participating in the comment system, scam reporting, and other community features must conduct themselves respectfully. Harassment, spam, and abusive behavior will result in account restrictions or termination. Users are encouraged to report suspected scam NFTs or fraudulent activity through the platform's reporting system.

7.1 Artist Rights

In accordance with Romanian Law No. 8/1996 on Copyright and Related Rights, the artist retains certain moral and economic rights over their work even after it has been sold. These rights include the right to be recognized as the author of the work, the right to object to any modification of the work that could damage their reputation, and the right to retract the work under certain conditions.

7.2 Royalties for NFTs

The artist who creates and sells an NFT on Mintos.Pro has the right to determine the royalty percentage that will apply to all future resales of that NFT. This royalty ensures that the artist continues to benefit financially from the increasing value of their work over time. Royalties are enforced on-chain through the Metaplex Core Royalties plugin on the Solana blockchain.

7.3 How Royalties Work on the Blockchain

7.4 Resale Rights

The buyer of a piece of art on Mintos.Pro, whether digital or physical, has the right to resell the work. However, the original artist is entitled to the resale royalties as described above. The resale royalty percentage is predetermined by the artist during the minting of the NFT and is automatically applied to every subsequent sale of the NFT on the blockchain.

7.5 Intellectual Property

All intellectual property rights associated with the digital and physical art sold on Mintos.Pro remain with the original creator unless explicitly transferred to the buyer as part of the transaction. Any disputes over intellectual property should be resolved between the buyer and the seller directly. The platform will cooperate with lawful requests regarding intellectual property disputes as outlined in the Web2 Self-Declaration.

8.1 Shipping Process

Once a transaction for a physical art piece is completed, the seller is responsible for arranging the shipment through the available courier services. All shipping costs are to be borne by the buyer, unless otherwise specified by the seller. The transportation cost and insurance will be calculated based on the location provided by the buyer in their account settings. Risk and ownership of the product pass to the buyer upon conclusion of the Sale-Purchase Agreement.

8.2 Risk and Insurance

The risk of loss or damage to physical art during shipment is the responsibility of the buyer once the item has been dispatched by the seller. Buyers are encouraged to purchase insurance for their shipments to cover any potential damages or losses during transit. The seller is liable for delivery delays, and the buyer may claim damages and penalties in accordance with the Sale-Purchase Agreement.

12.1 Amicable Resolution

The parties shall first attempt to resolve any disputes amicably through direct negotiation. A party in breach shall be given 15 days from written notification to remedy the breach before further action is taken.

12.2 Arbitration

If amicable resolution is not achieved, disputes shall be resolved through binding arbitration at the Arbitration Court of the Chamber of Commerce and Industry of Dolj County, Romania. The arbitral panel shall consist of a single arbitrator selected by random draw. The arbitral award is final and binding.

12.3 Termination

Either party may terminate the relationship by providing 60 days' written notice. Already-due obligations persist after termination.
